Jackie Perczek Addresses the Corporate Transparency Act at the Florida Tax Institute
On February 14, 2024, Jackie together with Ian Comisky of Fox Rothschild LLP presented at the annual Florida Tax Institute held in Tampa, Florida, on the now-effective Corporate Transparency Act, 31 U.S.C. § 5336. The statute was enacted as part of the Anti-Money Laundering Act of 2020. FinCEN has issued regulations, FAQ’s, and a Small Business Compliance Guide addressing the multiple requirements of the Act. The Act and new regulations raise substantial ethical issues for lawyers with respect to client intake, continued client representation as facts are gathered, and the attorney’s role in completing and filing the required forms under the Act. The presentation focused on the requirements of the Act and the attorney’s role and duties under the new regulations in light of various ethical considerations including ABA Formal Ethics Opinions.
